Terms of service
The agreement, in the same voice as the product.
These terms cover your use of Slate. They are written to be read rather than to be survived, and the section that matters most is the one about your own LinkedIn agreement.
This agreement
Slate is operated by Slate ("Slate", "we", "us"). By creating a workspace or using the service you agree to these terms. If you are agreeing on behalf of a company, you are confirming that you can bind that company.
Onboarding is currently by hand: workspaces are created by us after a conversation. Any commercial terms we agree with you in writing — price, seats, allowances — sit on top of this document, and where they conflict, the written agreement wins.
What Slate provides
Slate is a recruiting workspace: it stores roles and candidate records, screens candidates against a role using a language model, and presents the results for a person to decide on. Slate M&A is a separate product that collects dated signals about companies from public filings and press sources and orders them by evidence.
The Slate Collector is a desktop application we license to you for use on your own machine as part of the service. It runs on macOS.
Your LinkedIn account is yours, and so is your agreement with LinkedIn
This is the section to read twice.
Slate collects through your LinkedIn session, signed in by you, on your machine. Your use of LinkedIn is governed by your own agreement with LinkedIn, including its User Agreement and its guidance on prohibited software and automation. You are responsible for compliance with that agreement, and you are responsible for deciding whether the way you use Slate is consistent with it.
Slate is not affiliated with, endorsed by, approved by, or certified by LinkedIn. We do not claim that using Slate is permitted by LinkedIn's terms, and nobody at Slate will tell you that it is. Using your own account rather than a shared one is a more honest posture than the alternative; it is not the same thing as permission.
Slate paces collection against your seat's own daily limit, stops at any checkpoint, and never bypasses a login or a second factor. We cannot and do not guarantee that LinkedIn will not restrict or terminate your account, and we are not liable if it does.
Your account, your seats, your people
You are responsible for your credentials and for the people you invite into your workspace. Seats are an attribute of your workspace and are set by your plan. Adding a member beyond your seat limit requires changing the plan, not a workaround.
You must be at least eighteen and legally able to enter this agreement. One person, one login: do not share a login between people.
Acceptable use
- Do not use Slate to discriminate unlawfully in hiring, or to build a screen whose purpose is to exclude a protected class.
- Do not use Slate to send unsolicited bulk messages, or to contact anyone who has asked not to be contacted. Slate maintains a suppression list and it is not optional.
- Do not upload data you do not have the right to process, and do not upload special category personal data into candidate notes.
- Do not attempt to reach another workspace's data, probe the service for vulnerabilities outside the disclosure process on the security page, or resell access to Slate.
- Do not use another person's LinkedIn account, or a copied session, with the Collector.
Screening output is advice for a person, not a decision. You remain the decision-maker for every hiring outcome, and you should review verdicts rather than acting on scores alone.
Your data
The candidate records, verdicts, notes and settings in your workspace are yours. We process them to run the service for you, and for nothing else: we do not sell them, and we do not use them to train any model. See the privacy page for the detail, including the sub-processors involved.
You can export your data while your workspace is active. If you close your workspace we will delete it on the schedule in the privacy page.
Fees and metering
Subscription fees are billed monthly in advance. Metered usage — screened candidates above your allowance, enriched contacts, M&A universe size — is billed in arrears at the rates on the pricing page or in your written agreement.
Enrichment has a monthly ceiling that you set, and Slate stops at it rather than continuing and invoicing you. Fees are exclusive of tax. We will give at least thirty days' notice before a price change takes effect for you.
Early access
Slate M&A is labelled early access, and that label is doing real work. Its signal sources are limited to public filings and press today, some evidence is entered by hand, and there is no measured hit rate because there is not yet enough history to measure one. Features may change. We will tell you before anything you rely on is removed.
Availability and warranties
Slate runs on a single server and we do not offer a service-level agreement. We aim for the service to be available and we will tell you when it is not, but the service is provided as is, without warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that a screening verdict is correct, that a shortlist contains the best candidate, or that an M&A signal means a transaction will happen. Scores rank evidence. They are not predictions and are not presented as any.
Liability
Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, arising out of this agreement. Our total liability in any twelve month period is limited to the fees you paid us in that period.
Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
Ending it
You can cancel at any time, effective at the end of your current billing month. We can suspend or end an account that breaches the acceptable-use section, or that we are required to end by law; where we can give notice first, we will.
On termination you keep the right to export your data for thirty days.
Changes, law, and how to reach us
We will post changes to these terms on this page and update the date at the top. Material changes get at least thirty days' notice to the email address on your account. Continuing to use Slate after that is acceptance.
